Vandor Motion Pictures, Phonorecords and Music Publishing Group, Vandor Motion Pictures, Vandor Music Group, VMG World Wide, and including any and all owned Phonorecord Labels, Publishing and or Services Organizations: hereinafter jointly and severally known as: VMG; provides any and all qualified parties, entities, creators and/or producers of phonorecords, motion pictures, television programs, videos, books, screen plays, theatrical productions, musical or other performances, technical texts, technical programs, robotics, games, electrical and/or mechanical processes and/or equipment, original or otherwise, any and all relevant services with respect to business operations and/or functions, specifically but not limited to: preparation, production, promotion, publishing, sub-publishing, licensing, manufacture, distribution, merchandising, sales, anti-counterfeiting and/or anti-copy codes and measures, and any and/or all relevant administrative services and business operations and/or functions with respect thereto, world wide and without censorship or discrimination of any kind. 1. VMG is a services provider organization and does not offer nor infer to offer initial financing for any product or service whatsoever. It is VMG's experience that such reputed 'financing' is always contracted in such manner that all said 'financing' is charged back to the victim at exorbitant rates combined with 'reduced royalty payment if ... reduced royalty payment this ... reduced royalty payment that ...' until the victim is embound in unpayable and unmanageable debt: receiving nothing for their efforts; and a: VMG does not accept such contracts from any party(ies) or entity(ies) whatsoever; and we will not knowingly be involved with nor a party to such agreements; however b: VMG does have facilities and resources to present qualified parties, entities, creators, producers and/or business interests to qualified financial and/or lending institutions; and to consult and/or assist with preparation of business plans and proposals with respect thereto; specifically but not limited to presentation of appropriate business plans to legitimate qualified investors to secure proper and business-level funding for proven commercially acceptable product. 2. Any and all parties, entities, products and/or services incorporating either the name(s), emblem(s) and/or logo(s) of VMG or inferring any association whatsoever therewith, must comply with any and all relevant statutes of law and any and all standards of and with respect to public exposure and/or conduct thereof. 3. VMG will not knowingly permit any illegal activity whatsoever, either by any party(ies) and/or entity(ies) what/whomsoever associated herewith within the company nor any contractee what/whomsoever associated herewith regardless of affiliation and/or association. 4. VMG will not knowingly permit illegal discrimination on the basis of sex, race, color, creed, national origin, age, and/or private life style; however a: Our policies require absolute honesty, and therefore naming names, identifying cronies and such Clique Operations regardless of its connections does not violate our stated initial provision; and b: It is VMG Policy that should any potential client wish to conduct their business with any other VMG Representative, Associate or Assign because said potential client feels their initial contact and/or current VMG Operative is not sufficiently conversant with their particular Field/Genre' of Music and/or the relevant skills and/or technologies required or involved: said current VMG Operative will direct said potential client to the VMG Operative most qualified, and/or directly to the VMG Senior Officers; however c: It is VMG Policy that should any potential client wish to conduct their business with any other VMG Representative, Associate or Assign because said potential client feels their initial contact and/or current VMG Operative is of any given Race, Creed, Color, Life Style, Political Persuasion or Social Calling deemed by said potential client to be substandard, of lesser morality, or lacks integrity to said potential client's standards or preferences: said current VMG Operative will not direct said potential client to any other VMG Operative, but shall direct them to said potential client's choice of any other company! VMG does not want nor need said potential client's business. However d: Section c:, above, notwithstanding, any impropriety(ies) committed on the basis of Race, Creed, Color, Life Style, Political Persuasion or Social Calling by any party(ies) and/or entity(ies) what/whomsoever, whether against VMG and/or any and all associates and/or assigns thereof or any other party(ies) and/or entity(ies) what/whomsoever, shall be identified as such without exception: specifically, but not limited to: the Jewish Cliques of ASCAP, BMI and SESAC, and the United States District Court, Southern District of New York's perpetual endorsement and enforcement thereof. 5. VMG will not knowingly permit political correctness to obviate or decrease our services or contacts anywhere, at any time, under any conditions. If something is politically correct to VMG and Associates, it's politically correct! Period. 6. VMG requires binding contractual agreement(s) with respect to any and all heresaid services prior to commencement of any and/or all said service(s) whatsoever with respect thereto; a: Specifically with respect to Investors and Investment Brokers, VMG requires all initial paperwork be in place, specifically but not limited to VMG's nonCircumvention, nonDisclosure, nonCompetition, nonInterference, and Indemnity Agreement, which can be found at -- http://www.vmgworldwide.com/non-non.htm -- for review; and once wet signatured copies are in place, VMG does further require: b: Wet signatured Letters of Declaration, that said Investor and/or Investment Broker does fund or secures funding for Entertainment and Recorded Music Industry projects; that said Investor and/or Investment Broker does have and can secure the amounts of monies required for the given project; and that said Investor and/or Investment Broker does have fully verifiable references with respect thereto; c: Wet signatured non-binding Letters of Intent with respect to involvement in said project; and d: Wet signatured Letter of Agreement and Understanding that said Investors and/or Investment Brokers shall be reimbursed any and all fees and charges agreed upon by Letter of Credit issued by the receiving Financial Institution upon closing of said financial arrangements as the direct end result of said Investor's and/or Investment Broker's efforts. 7. VMG shall issue and/or otherwise enter into contractual agreement(s) only with parties and/or entities who are qualified with respect thereto in the sole and exclusive opinion of the Staff and Management of VMG, and shall not be further embound thereby to any other and/or additional party(ies) and/or entity(ies) what/whomsoever, specifically but not limited to any and/or all governmental agencies not a signatory to said contractual agreement(s). 8. VMG shall enter into only those contractual agreement(s) the entire contents whereof are construed as guarantees to the best of the ability(ies) of the party(ies) thereof are able to perform. 9. VMG requires minimum product(s) and/or services provisions from any and all contractees as provided in and with respect to relevant contractual agreement(s) between said parties hereof; said requirements varying only with respect to the normal business functions of any given contractee. 10. VMG does not accept nor infer to accept previously manufactured product for any services with respect to manufacture, promotion, licensing, distribution, merchandising, sales, anti-counterfeiting and/or anti-copy codes and measures, thereof; and VMG does not provide any heresaid service(s) for product(s) not manufactured by or under authority of VMG. Such product is already compromised with respect to anti-counterfeiting (piracy) Codes and Measures and VMG will not take responsibility for such incurred losses. 11. Any and all, each and every VMG Representative shall have in place and present upon demand therefore: a wet signatured copy of said VMG nonCircumvention, nonDisclosure, nonCompetition, nonInterference, and Indemnity Agreement; and a wet signatured Independent Contractor's Agreement between said Representative and VMG. 12. Neither VMG nor any affiliates or assigns thereof shall in any manner be held liable or in any manner responsible for any mis-representation(s) whatsoever of either VMG, Authorized Representatives thereof, and/or said stated Policies thereof by any party(ies) and/or entity(ies) what/whomsoever not duly contracted herewith. 13. Any and all contractual agreements with respect to VMG shall be generated at VMG by said Senior Officers thereof, and duly executed by the relevant VMG Representative, and shall not be valid nor binding without said VMG Senior Officer's signature(s). |
